Atlas is hiring an exceptional, business-minded Assistant General Counsel, Director of Commercial Law to join our high-performing Legal & Compliance team. This is an impactful leadership role, where you’ll support Atlas in structuring legal agreements for complex, high-value deals that drive growth for our business while safeguarding the company’s global operations.
You will partner closely with cross-functional teams within Sales, Partnerships, Operations, and Finance, and provide practical, solution-oriented legal advice and support on a wide variety of commercial deals and issues. Your role will be central in shaping negotiation strategies, closing critical deals, and fostering strong, trust-based relationships both internally and externally. You will also work closely with colleagues in Legal & Compliance to ensure Atlas’s unwavering commitment to global compliance is always fulfilled.
This position reports to the Vice President, Associate General Counsel, and offers the opportunity to lead on significant deals, manage others, and work alongside C-level executives in a fast paced, highly dynamic organization and industry. The ideal candidate will be an empathetic and hands-on leader who is creative and curious, and who takes full ownership of initiatives. We are looking for someone who combines sharp legal and commercial instincts with approachability, emotional intelligence, and the ability to inspire confidence at all levels of the organization.
What You’ll Do
- Lead negotiations for high-value, complex commercial agreements, strategic partnerships, and global enterprise deals.
- Draft, review and refine commercial documents, including confidentiality and non-disclosure agreements, master service agreements, engagement letters, term sheets, and transactional contracts.
- Provide practical legal guidance on executed agreements, client expansion, and business operations in a fast-paced environment.
- Partner with cross-functional teams to create deal structures that balance business growth with risk mitigation.
- Participate with other members of Legal & Compliance in the development and deployment of global corporate legal and regulatory policies, procedures, and programs.
- Lead high-impact projects that advance the company’s commercial and strategic objectives.
- Lead, teach, and learn from an exceptional team of lawyers and legal professionals.
- Mentor, guide, and inspire Legal & Compliance team members—sharing your expertise while fostering a culture of collaboration and learning.
- Serve as a trusted advisor to senior executives, contributing to strategic decision-making.
What We’re Looking For
- JD. from an accredited law school (or international equivalent) and active admission in at least one U.S. state bar.
- 10+ years of legal experience, with at least 5 years in-house at a global organization, preferably in technology, SaaS, or professional services.
- Experience managing a team of attorneys.
- Strong experience structuring, negotiating and closing complex commercial transactions in a fast-paced setting.
- Exceptional negotiation skills with a collaborative, win-win mindset.
- Ability to distill complex legal concepts into clear, actionable business advice.
- Demonstrated ability to manage multiple priorities under tight timelines while maintaining attention to detail.
- Demonstrated ability to balance legal risk with business objectives under tight timelines.
- Excellent drafting, negotiation, and communication skills (written and verbal).
- Experience supporting business development or strategic partnership functions.
- A positive attitude, sense of humor, and genuine team spirit with a genuine commitment to relationship building and team success.
- A pragmatic, solutions-driven approach with an understanding of the bigger business picture.
- Familiarity with labor and employment laws, corporate governance, and M&A transactions is preferred but not required.
