The job details are as follows:
The Legal Administrator has primary responsibility for the organization and maintenance of OCLC's legal files, preparation of filings, management of contract renewals.This position is key to supporting OCLC’s global transactional practice, which supports OCLC’s ability to complete the sales contracting process, negotiate contracts with vendors for IT tools, and develop relationships with partners around the world. The role also provides higher level administrative support to the legal team to allow the attorneys to focus on legal matters.
Responsibilities:
Provides paralegal and administrative support for the Vice President, General Counsel, and the OCLC Legal Department.
Responsible for organization and control of OCLC contracts and other legal documents and for completion of statutory filings and corporation filings, including copyright registration.
Provides assistance in significant legal matters including due diligence matters related to acquisitions and/or divestitures. Provides contract management and follow-up in anticipation of closings.
Evaluates standardized documents to detect deviations from the approved standard and processes accordingly; reviews new agreements/documents to determine changes from previous drafts.
Prepares draft form agreements and assistance in completion of other contracts, and drafts correspondence for OCLC and the Vice President.
Requirements:
Minimum three years in position responsible for workflow management within a corporate legal department and five or more years as the legal assistant in a corporate or law firm environment
Significant experience with Microsoft Office applications
Exceptional communication skills are required
Desired but not Required:
Associates degree or paralegal certification preferred
Experience with a contract management system (e.g., Cobblestone) and electronic signature software (e.g., DocuSign)
This position requires an individual able to interact with management on every level, to act independently, and to maintain the highest degree of professionalism in every aspect of the position
Management of a multi-task workload, emergency response as required to needs of the Vice President and the ability to work long hours
Working Conditions: Normal office environment.
