Overview
Legal Counsel provides legal advice and counsel to the business on a variety of legal issues, supports the contract administration team on various commercial transactions, including the structuring, drafting and negotiation of commercial SaaS, software, services, and equipment contracts, strategic partnership agreements, sourcing and vendor agreements, consulting agreements, development contracts, licensing arrangements and related transactional matters, and conducts legal research, ensures organizational compliance, manages customer, vendor, litigation and dispute matters, and performs other job functions, as needed.
Duties & Responsibilities
- Effectively drafts, reviews, negotiates and revises complex commercial, SaaS, software license, services, and equipment agreements, vendor agreements, strategic business agreements, and other corporate contractual documents and related addenda and amendments.
- Acts as a business partner by applying combined business and legal judgment to proposed transactions, relationships and other issues requiring legal or compliance attention.
- Advises the business on regulatory, privacy, antitrust, data rights and promotional matters, provides regulatory and compliance advice as necessary, including for HIPAA, and assists in developing policies on industry-specific issues, as directed.
- Ensures compliance with symplr delegation of authority levels and financial policies (including revenue recognition), determines whether contract requests which vary from the established standards are acceptable.
- Assists in developing policies on industry-specific issues, as directed.
- Conducts legal research as requested and responds to field requests for assistance with RFPs, RFIs, RFQs, and security questionnaires.
- Provides support and management regarding dispute resolution and litigation, as needed.
- Promotes effective communication at all levels within the business, develops and maintains positive business and contractual relationships with internal and external clients, vendors, suppliers and consultants.
- Supports, mentors, and works with the contract administration team to create, revise and negotiate commercial sales contracts and handle term extensions, renewals, terminations and other contractual matters.
- Spots potential legal issues within the organization and works with the business and the Chief Legal Officer to address and remediate those issues.
Skills Required
- Experience with contracts and contract negotiation, preferably software licensing and technology.
- Experience and skill with legal research and writing, including drafting and negotiating strategic business transactions and resolving business disputes.
- Knowledge of intellectual property law; understanding of financial and revenue recognition issues.
- Excellent interpersonal, analytical, written and oral communication skills, ability to communicate using the English language.
- Excellent computer skills related to legal research and drafting and revising legal documents.
- Strong attention to detail and accuracy, strong interpersonal skills, strong ability to work effectively as part of a team and work well with all levels of personnel, clients and vendors.
- Effective time management, prioritization and organizational skills; ability to take the initiative to contribute beyond the core legal function.
- Energy, creativity, judgment, integrity and comfort dealing with a broad array of legal matters in a fast-paced, high pressured environment with irregular hours.
- Excellent computer and technology skills and proficiency with MS Office Programs.
Qualifications Required:
- Must possess a Juris Doctor law degree from an accredited law school in the United States, be licensed to practice law in a state in the United States, be a member of a state bar, and be legally authorized to work in the United States.
- 3+ years of professional experience working in a law firm or corporate legal department environment with a focus on corporate law, contract law, and/or transactional/M&A law, preferably of a technology company (healthcare technology a plus).
- Familiarity with the use of AI and agents, including how they can be leveraged to streamline workflows, enhance decision-making, improve user experiences, and support operational efficiency across a variety of tasks and tools.
